Terms of Service

Agreement
These Terms of Service (“Terms”) govern your access to and use of Sala (“we”, “us”) at heysala.com and related services (the “Service”). By creating an account or using Sala, you agree to these Terms. If you are using Sala on behalf of a brokerage or company, you represent that you have authority to bind that organization.
What Sala is
Sala is a coordination tool for tracking inspection findings, repair items, and negotiation rounds during a real estate transaction. It helps agents and clients organize decisions and export summaries.
Sala is not a law firm, brokerage, escrow company, or e-signature platform. It does not provide legal advice, prepare binding contracts, or replace your brokerage’s forms, compliance processes, or DocuSign / Dotloop / zipForm / SkySlope (or similar) workflows.
Accounts & eligibility
You must provide a valid email address and keep your account secure. You are responsible for activity under your account. Do not share magic-link emails with people who should not access your deals.
Your content & deals
You retain ownership of content you upload or enter (inspection PDFs, notes, party details, negotiation positions, and similar). You grant us a limited license to host, process, display, and transmit that content solely to operate and improve the Service—including inviting members you designate and generating exports you request.
You are responsible for having the rights to upload documents and to invite others to a deal. Agents are responsible for confirming that clients and counterparties should see the information shared in that deal.
Acceptable use
You agree not to:
- Use Sala for unlawful, fraudulent, or harassing purposes
- Upload malware, or attempt to probe, disrupt, or reverse engineer the Service
- Access another user’s account or deal without authorization
- Misrepresent your identity, role, or authority in a transaction
- Abuse automated access, scrape the Service, or overload our systems
We may suspend or terminate access if we reasonably believe these Terms have been violated.
AI-assisted features
Some features (for example drafting repair items from inspection PDFs) use third-party AI providers. Outputs may be incomplete or incorrect. You are responsible for reviewing all AI-generated content before relying on it in a transaction.
Privacy
Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms.
Third-party services
Sala may integrate with or rely on third-party services (hosting, auth, email, AI, monitoring). Those services are governed by their own terms. We are not responsible for third-party outages or policies outside our control.
Disclaimer of warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content (including AI drafts or exports) will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, Sala and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities, arising from your use of the Service. Our aggregate liability for claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim or (b) one hundred U.S. dollars (US $100), if you have not paid us.
Indemnity
You agree to indemnify and hold harmless Sala and its operators from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law—including claims by clients or counterparties related to deals you manage in Sala.
Changes & termination
We may update these Terms by posting a revised version on this page. Continued use after the update constitutes acceptance. We may modify or discontinue the Service, and you may stop using Sala at any time.
Governing law
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless mandatory local law provides otherwise. Courts in California will have exclusive jurisdiction for disputes that cannot be resolved informally, except where prohibited.
